Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the services, products, and website (collectively, the "Services") provided by BLU Media LLC, a Pennsylvania-based marketing agency. By using our Services, you agree to comply with and be legally bound by these Terms.

1. Services Provided

BLU Media offers services including but not limited to:

Social media management
Web design and development
Content creation (photo/video)
Digital advertising
Brand strategy

All services are initiated only after a signed agreement and initial payment or deposit (if applicable).

2. Client Responsibilities

To ensure a successful working relationship, the client agrees to:

Provide accurate and timely information, including brand assets, account access, and approvals
Respond to communication and feedback requests within a reasonable timeframe
Make monthly payments on time according to the agreement schedule

Marketing results take time. Clients must commit to a minimum term of three (3) months for services to be effective and measurable. Entering a contract with BLU Media acknowledges this understanding.

3. Payment Terms

All services are billed monthly, due on the agreed date, unless otherwise specified in writing.
Invoices that are not paid on the agreed upon date are considered late and subject to a 10% late fee per day until paid.
Payment is accepted via ACH, debit/credit card, or other approved electronic methods.
If a card is declined or payment fails, services may be paused until resolved.

4. Minimum Term & Cancellation Policy

Minimum Commitment:
All service agreements require a minimum 3-month term. This policy reflects the time needed to generate meaningful results.

If a client cancels before completing the initial 3 months:

The remaining monthly contract amount is still due, either:
- Paid in full immediately, or
- Paid month-to-month until the original contract term ends
No additional services will be rendered once cancellation notice is received.
The client forfeits the right to re-engage with BLU Media in the future unless approved.

If a client cancels a 6-month contract after 3 months:

The client must pay the remaining balance plus a 10% early termination fee

If a client cancels a 12-month contract after 3 months:

The client must pay the remaining balance plus a 15% early termination fee

Example: A client with a $1,000/month 12-month contract who cancels at Month 4 owes $8,000 + $1,200 (15%) = $9,200.

No exceptions unless explicitly stated in writing by BLU Media leadership.

5. Ownership & Intellectual Property

All creative materials (photos, designs, websites, content, ad copy, etc.) remain the property of BLU Media until full payment is made. After final payment, ownership of approved deliverables transfers to the client. BLU Media reserves the right to showcase completed work for marketing purposes unless restricted by a written NDA.

6. Confidentiality

Both parties agree not to disclose proprietary or sensitive information, including strategies, credentials, financial data, or trade secrets. This obligation survives the termination of the contract.

7. Liability & Guarantees

BLU Media is not liable for:

Indirect or incidental damages
Platform issues (e.g., Meta, Google)
Client inaction that hinders results

We do not guarantee specific results (sales, followers, ranking, etc.) due to variables outside our control. However, we do guarantee that contracted work will be delivered as agreed.

8. Disputes & Jurisdiction

These Terms are governed by the laws of the Commonwealth of Pennsylvania. Any disputes will be handled in Allegheny County, PA.

9. Changes to Terms

BLU Media reserves the right to modify these Terms at any time. Updated versions will be posted on our website with the new effective date. Continued use of services after changes constitutes acceptance.
